Terms of Service

Cash Flow & Capital (the “Service”) is operated by Kedrec Wealth (“Kedrec Wealth,” “we,” “us,” or “our”). By creating an account or using the Service, you (“you” or “user”) agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

Paid plans (Cash Flow, Cash Flow & Capital, and Cash Flow & Capital+) are billed monthly in advance through Stripe. Prices displayed at checkout apply to your current billing cycle. Unless you cancel, your subscription automatically renews each month at the then-current price.

You may cancel at any time from your billing portal. Cancellation takes effect at the end of your current billing period; we do not provide refunds for partial periods except where required by law.

Free trials, if offered, convert to paid subscriptions at the end of the trial unless canceled beforehand. We may change pricing at any time; changes apply to the next billing cycle after we notify you.

This is the most important section of these Terms. Please read it carefully.

All content, materials, methodologies, frameworks, spreadsheets, checklists, planning tasks, prompts, investment models, portfolio allocations, rebalance guidance, coaching communications, and any other proprietary information or intellectual property provided through the Service by Kedrec Wealth (collectively, the “Kedrec Wealth Materials”) are owned by Kedrec Wealth and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms and payment of any applicable fees, Kedrec Wealth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Kedrec Wealth Materials solely for your own personal, non-commercial financial planning while your subscription is active.

The Kedrec Wealth Materials are licensed to you individually and may not be shared with any other person or entity.

You agree that you will not, directly or indirectly:

• Share, forward, distribute, publish, post, upload, stream, or otherwise make the Kedrec Wealth Materials available to any third party, including on social media, group chats, forums, file-sharing services, or other public or private platforms;
• Copy, reproduce, screenshot, screen-record, or transcribe the Kedrec Wealth Materials for the purpose of sharing them with others;
• Resell, license, rent, lease, or otherwise commercialize the Kedrec Wealth Materials, or use them to provide financial planning, coaching, advisory, or investment services to anyone else;
• Use the Kedrec Wealth Materials to train, fine-tune, or evaluate any machine-learning model or artificial-intelligence system;
• Reverse engineer, decompile, or attempt to derive the underlying logic of any investment model, allocation methodology, or proprietary framework included in the Kedrec Wealth Materials; or
• Remove or alter any copyright, trademark, or other proprietary notices contained in the Kedrec Wealth Materials.

The one exception: if your plan includes a shared household or partner feature, you may share the Kedrec Wealth Materials with the spouse or partner you have explicitly linked in the Service, and they are bound by these Terms as if they were you.

Your license to the Kedrec Wealth Materials ends automatically when your subscription ends or when we terminate your account. After that, you must stop using the Kedrec Wealth Materials and destroy any copies in your possession.

The Service connects to your financial accounts through Plaid to import transactions, balances, and related information (“Your Financial Data”). You retain all rights to Your Financial Data. You grant Kedrec Wealth a limited license to store, process, and display Your Financial Data solely to operate the Service for you, and, if you have explicitly authorized coaching access, to share it with your assigned Kedrec Wealth coach.

You are responsible for the accuracy of any data you enter manually, including budgets, categories, and savings goals.

The Service and the Kedrec Wealth Materials are provided for informational and educational purposes only. Nothing in the Service constitutes personalized investment advice, tax advice, legal advice, accounting advice, or a recommendation to buy, sell, or hold any security. Model portfolios, allocations, rebalance suggestions, and coaching communications are general information based on the inputs you provide and are not tailored to your specific financial situation unless expressly stated in a written engagement.

You are solely responsible for your financial decisions. Past performance is not indicative of future results. Consult a qualified licensed professional before making significant financial, tax, or legal decisions.

You agree not to:

• Use the Service in a way that violates any law or the rights of others;
• Attempt to gain unauthorized access to any account, system, or data, or to interfere with the operation of the Service;
• Upload malicious code, scrape the Service without permission, or use it to send spam;
• Impersonate any person or misrepresent your affiliation with any person or entity; or
• Use the Service on behalf of any third party without our written consent.

The Service relies on third-party providers, including Plaid (account connections), Stripe (payments), and our infrastructure providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or actions of any third-party service.

You may stop using the Service at any time by canceling your subscription. We may suspend or terminate your access if you breach these Terms, misuse the Kedrec Wealth Materials, engage in fraudulent or abusive behavior, or if we are required to do so by law. On termination, your license to the Kedrec Wealth Materials ends immediately.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data displayed will be accurate or complete.

To the maximum extent permitted by law, Kedrec Wealth and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim arising from the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Kedrec Wealth and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Kedrec Wealth Materials, or your violation of any law or the rights of any third party.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Kansas, and you consent to their exclusive jurisdiction and venue.
